Welcome to Roof Prospect Inc. ("Roof Prospect AI," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our appointment auction marketplace and our related marketing, lead qualification, and appointment-setting services, available at roofprospect.ai (the "Platform"). By registering, purchasing, bidding, or accepting appointments from Roof Prospect Inc. — or by clicking to accept these Terms — you ("Client," "Contractor," "Local Partner," or "you") agree to these Terms. If you do not agree, do not use the Platform.
Roof Prospect AI is an appointment auction marketplace operated by Roof Prospect Inc.. We provide marketing, lead generation, qualification, and appointment-setting services for:
We generate inquiries, pre-qualify prospects, schedule inspection or estimate appointments, and auction those appointments to registered roofing contractors. The winning Contractor receives exclusive access to full contact and property details after payment is confirmed. We sell pre-qualified, booked appointments — not raw leads.
Roof Prospect Inc. does not perform roofing or construction services under these Terms unless separately contracted in writing.
You must be at least 18 years old, a licensed roofing contractor or roofing business located in the United States, and able to form a binding contract to use this Platform. By registering, you represent that you hold all licenses, registrations, bonds, and insurance required in every jurisdiction in which you operate. The Platform is offered only in the United States; we do not target or offer it to users in the European Economic Area, the United Kingdom, or Switzerland. We reserve the right to verify credentials and to suspend or terminate accounts that cannot demonstrate valid licensure.
You must provide accurate, current, and complete registration information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. One account per business; you may not share, sell, or transfer your account or credentials. You agree to notify us immediately at support@roofprospect.ai of any unauthorized access or suspected breach.
Appointment pricing varies based on project type, roof size, market conditions, county, and auction results. Applicable minimum bid amounts and, where offered, Buy Now prices are disclosed on each listing before you commit. All fees are stated and charged in US dollars. All services are prepaid unless otherwise agreed in writing, and payment must be received and confirmed before appointment contact details are delivered.
Card payments are processed by Stripe. By providing a payment method, you authorize us and Stripe to charge that method for the amounts you incur (winning bids, Buy Now purchases where offered, subscription fees, and applicable taxes). We do not store full card numbers. Prices, plans, and features may change prospectively; we will give notice of material changes as described in Section 30.
Subscription plans (such as Starter, Pro, and Enterprise) are billed monthly in advance via Stripe and grant a set number of appointment purchases or bids per billing period, as described on the pricing page.
If a charge is declined or reversed, we may suspend your account and withhold appointment details until payment is resolved. Initiating a chargeback or payment dispute on a valid charge is a breach of these Terms; in that event we may, to the extent permitted by law, reverse related account credits, suspend or terminate your account, and recover amounts owed. If you believe a charge is in error, contact us first at support@roofprospect.ai so we can resolve it.
Bids are binding commitments. If you place the winning bid or use Buy Now (where offered), you are obligated to pay the amount due and to attend the scheduled appointment at the property. Contact and property details are revealed only after payment is confirmed.
Minimum bid amounts and Buy Now prices are set per appointment and may vary based on property size, county, estimated value, and other factors. The Platform may offer optional automatic ("proxy") bidding, which places bids on your behalf up to a maximum you set; you remain responsible for any winning bid it places. All prices are in US dollars.

All review requests must be submitted within 24 hours of the scheduled appointment and must include reasonable documentation. If approved, resolution may be provided either as account credits applied toward future appointment purchases or as a refund to the original payment method, depending on payment history and the refund path available. Account credits have no cash value, are non-transferable, and may only be applied toward future purchases on the Platform. This Section states your sole and exclusive remedy for an appointment that fails to meet qualification standards.
Contractors who achieve $5,000 in lifetime spend receive a 5% discount on future purchases. Contractors who achieve $10,000 in lifetime spend receive a 10% discount. Discounts are applied automatically at checkout, cannot be combined with other promotional offers, and may be modified or discontinued prospectively on notice.
Roof Prospect AI provides marketing and scheduling services only. We do not guarantee:
AI quality scores are estimates only and do not constitute a guarantee of job value or homeowner intent. All sales outcomes are the sole responsibility of the Client.
The Platform is provided on an "as available" basis and may be under active development. We do not guarantee uninterrupted or error-free operation, and we may add, change, suspend, or discontinue any feature (including auction formats, Buy Now, subscription tiers, or notification channels) at any time. Where a change materially affects paid services you are already using, we will provide notice as described in Section 30.
Appointments delivered to a Client will not be resold or reassigned once awarded and paid for. Roof Prospect AI reserves the right to serve multiple clients in different territories and markets. Only the winning bidder receives contact and property details for a given appointment.
Roof Prospect AI acts solely as a marketing and appointment-setting provider. No employer-employee, partnership, joint venture, or agency relationship is created by these Terms. Client is solely responsible for:
Roof Prospect Inc. assumes no liability for construction services or work performed by Client.
When you win an appointment and pay, we reveal the homeowner's actual contact details (name, phone, email if available, and property address) so you can fulfill the booked appointment. That information is confidential and is provided to you for the sole purpose of servicing that specific appointment. By winning an appointment, you agree to:
You are solely responsible for your own communications with homeowners and for obtaining any consent those communications require. Violations may result in immediate suspension or termination and may give rise to the indemnity in Section 22.
You may not use the Platform to:
Homeowner contact information (name, phone, email, full address) is confidential and may only be used to fulfill the specific booked appointment, as described in Section 15. You may not add homeowners to third-party marketing lists without their explicit, documented consent. Our Privacy Policy governs how we collect and handle your personal data and is incorporated into these Terms by reference.
When you provide your mobile phone number during onboarding or registration and give the SMS consent shown at signup, you consent to receive transactional SMS text messages from Roof Prospect AI related to your use of the Platform. These are not marketing messages. Message types include:
SMS provider. We deliver SMS through GoHighLevel, our messaging provider; we may use one or more backup delivery carriers to ensure reliable delivery. Your phone number and message content are shared with these providers solely to deliver messages on our behalf and are not sold or used for their own marketing.
Message frequency: Approximately 2–5 messages per week, depending on your bidding activity and notification preferences. Frequency varies based on account activity.
Msg & data rates may apply. Your mobile carrier's standard messaging and data rates apply to all SMS messages. Roof Prospect AI is not responsible for charges imposed by your carrier.
Opt-out: You may opt out at any time by replying STOP to any message from Roof Prospect AI. You will receive one final confirmation message. Opting out of SMS does not affect other channels (email, in-app), and you may also manage SMS preferences in your account settings.
Help: Reply HELP to any message for support information, or contact support@roofprospect.ai.
No marketing messages: Roof Prospect AI does not send promotional or marketing text messages. All SMS communications are transactional and directly related to your Platform activity.
Carrier disclaimer: SMS is supported on major US mobile carriers. Carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed.
All Platform content, software, trademarks, and AI scoring models are the property of Roof Prospect Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not reproduce, distribute, or create derivative works without our written permission. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM AND ALL APPOINTMENTS, DATA, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Roof Prospect Inc. DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, secure, or error-free, that appointment or homeowner information will be accurate or complete, or that any homeowner will attend or transact. Some jurisdictions do not allow certain disclaimers, so parts of this Section may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Roof Prospect Inc. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, BUSINESS INTERRUPTION, CONSTRUCTION DEFECTS, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Roof Prospect Inc.'s total aggregate liability for any dispute concerning a specific appointment is limited to the amount you paid for that appointment. For any other claim, our total aggregate liability is limited to the greater of the amounts you paid to us in the three (3) months before the event giving rise to the claim, or $100. These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.
You agree to defend, indemnify, and hold harmless Roof Prospect Inc., its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your bids, purchases, or attendance (or non-attendance) at appointments; (c) any roofing, construction, inspection, or estimate work you perform; (d) your communications with homeowners, including any violation of the TCPA, Do-Not-Call rules, or CAN-SPAM; (e) your violation of these Terms or of any law; or (f) your infringement of any third party's rights.
Please read this Section carefully — it affects your legal rights.
Informal resolution first. Before starting an arbitration, you agree to contact us at support@roofprospect.ai and give us 30 days to resolve the dispute informally and in good faith.
Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Duval County, Florida, or by videoconference where the rules allow. The arbitrator's award may be entered in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act.
Class-action and class-arbitration waiver. You and Roof Prospect Inc. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.
Jury-trial waiver. To the extent a dispute proceeds in court rather than arbitration, you and Roof Prospect Inc. each waive any right to a jury trial.
Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or confidential information.
30-day right to opt out. You may opt out of this arbitration agreement (Section 23) within 30 days of first accepting these Terms by emailing support@roofprospect.ai with the subject line "Arbitration Opt-Out" and your account name. Opting out does not affect any other part of these Terms.
Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
Governing law. These Terms and any dispute are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Where arbitration does not apply, the state and federal courts located in Duval County, Florida have exclusive jurisdiction, and you consent to that jurisdiction and venue.
You consent to receive communications from us electronically — by email, SMS (per Section 18), and in-app notices — and you agree that electronic communications, agreements, and records satisfy any legal requirement that such communications be in writing. This consent is made under the federal E-SIGN Act. You may withdraw consent to non-essential electronic communications, but doing so may prevent you from using the Platform.
We may provide notices to you by email to your account address, by SMS, or by posting in the Platform, and such notice is effective when sent or posted. Legal notices to us must be sent to Roof Prospect Inc., 16011 N Main St #3159, Jacksonville, FL 32206, with a copy to support@roofprospect.ai.
Roof Prospect Inc. is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, severe weather, war, terrorism, labor disputes, utility or internet failures, and the acts or outages of third-party providers (such as payment, hosting, or messaging providers).
You may not assign or transfer these Terms or your account without our prior written consent, and any attempt to do so is void. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms and the Privacy Policy are the entire agreement between you and Roof Prospect Inc. regarding the Platform and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions stay in effect, and the unenforceable provision is modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver of it. There are no third-party beneficiaries. Section headings are for convenience only. The provisions that by their nature should survive termination — including Sections 6, 11, 14, and 17 through 28 — survive.
These Terms apply to all appointment purchases and services provided. Either party may discontinue services at any time. We may suspend or terminate your account for breach of these Terms, non-payment, chargebacks on valid charges, fraudulent activity, or conduct harmful to other users. Any previously delivered services remain subject to these Terms. Account credits issued for approved disputes may only be applied toward future purchases and are forfeited on termination for cause.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice, and we will update the "Last updated" date above. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Platform and cancel your subscription.
By registering for, purchasing, bidding on, or accepting appointments from Roof Prospect Inc., you acknowledge that you have read, understood, and agreed to these Terms of Service, including the arbitration agreement and class-action waiver in Section 23.
